Ethics

Code of Business Conduct and Ethics

The standards of conduct expected of everyone who works for or on behalf of Finexat Limited — at every level of the company, including the Director.

Our commitment

Our reputation is one of our most valuable assets. We win and keep clients through dependable delivery, honest dealing and fair treatment of everyone we work with. No commercial goal justifies a breach of this Code, and compliance with it is a condition of employment and engagement for every person working on our behalf.

The Code is informed by Kenyan law, including the Bribery Act (2016), the Anti-Corruption and Economic Crimes Act, the Data Protection Act (2019), and competition, consumer protection and employment legislation. Where client or host rules are stricter, the stricter requirement prevails.

Our core values in practice

Quality

We do work properly, to specification, and we do not conceal defects or cut corners to save time or cost.

Reliability

We honour commitments: to clients on scope, price and schedule; to employees on pay and conditions; to suppliers on payment terms.

Safety

We never ask anyone to take unsafe shortcuts, and we respect the right of any person to stop unsafe work.

Professionalism

We deal honestly and respectfully with everyone; we keep confidences; we admit and correct mistakes promptly.

Key standards

Compliance with laws and regulations

  • We comply with all laws applicable to our activities, including licensing, tax, labour, safety, environmental and data protection requirements.
  • We never engage in bribery, fraud, collusion, theft or misrepresentation.
  • Where the legal position is unclear, we seek guidance and do not proceed until it is clarified.

Fair dealing with clients and competitors

  • We compete on merit: no collusion, bid-rigging, price-fixing or market-sharing.
  • We present our capabilities honestly, with no false or exaggerated claims about experience, capacity, certifications or partnerships.
  • We honour contract terms and raise variations, delays or cost impacts transparently and promptly.
  • We respect client property and protect client information and systems accessed during our work.

Anti-bribery and corruption

  • Finexat has zero tolerance for bribery and corruption, involving public officials or private parties, in Kenya or abroad.
  • We do not offer, give, solicit or accept any bribe, kickback or improper advantage.
  • Gifts are never given or accepted in connection with a pending tender, award or approval; cash gifts are never acceptable.
  • Facilitation payments are prohibited, and agents and intermediaries are vetted and bound to this Code in writing.
  • We keep accurate books and records, with no off-book accounts or disguised payments.

Conflicts of interest

  • We avoid situations where personal interests conflict, or appear to conflict, with the company's interests.
  • Potential conflicts are disclosed promptly to the Director, who decides how they are managed.
  • Company opportunities, information and assets are never diverted for personal gain.

Workplace dignity and equal opportunity

  • No discrimination or harassment on grounds of ethnicity, religion, gender, age, disability, health status or any other protected characteristic.
  • Employment decisions are made on merit; child labour and forced labour are prohibited in our operations and supply chain.
  • Our workplace is free of alcohol and drugs during working hours.

Health, safety, environment and quality

  • No one may be directed to bypass safety or quality controls for any commercial reason.
  • Hazards, incidents and non-conformities are reported honestly; falsifying test results, inspection records or certifications is gross misconduct.

Honest records and financial integrity

  • We keep accurate, complete and timely records, and never falsify, backdate or improperly destroy them.
  • Company funds are used only for legitimate business purposes, and taxes and statutory deductions are paid accurately and on time.

Confidential information and data protection

  • We protect the confidential information of the company, our clients and partners, sharing it only with those who need it.
  • Personal data is handled in line with Kenya's Data Protection Act (2019).
  • Client credentials and system access are the client's property: handed over at project close and never retained or reused.

Company assets and intellectual property

  • Company assets are used responsibly and for authorised purposes; loss, theft or damage is reported promptly.
  • We use licensed software and respect third-party patents, trademarks and design rights.

Suppliers and subcontractors

  • We procure competitively and transparently, selecting suppliers on merit.
  • Subcontractors must comply with this Code, our HSE Policy and Quality Management Manual.
  • We pay suppliers on agreed terms and do not exploit small suppliers.

Communication and external representation

  • Only authorised people speak for the company; the Director approves formal statements.
  • Social media is used responsibly, without sharing confidential company or client information.
  • Company resources and influence are never used for political purposes.

Reporting concerns and whistleblower protection

  • Speaking up is a duty, not a disloyalty. Concerns can be raised with line management, the HSE and Quality Officer, or the Director.
  • No one is disadvantaged for raising a genuine concern in good faith; retaliation is itself a breach of this Code.
  • Reports are handled confidentially and investigated fairly; serious matters are escalated to the Director immediately.

Enforcement

  • Suspected breaches are investigated objectively, and the person concerned is given the opportunity to explain.
  • Breaches may lead to disciplinary action up to dismissal, termination of subcontract, or referral to the authorities.

Report a concern confidentially

If you have seen or suspect a breach of this Code, tell us. Reports are handled confidentially, investigated fairly, and no one is disadvantaged for raising a genuine concern in good faith.

Reports are only visible to company administrators. You may report anonymously.
